These Terms and Conditions ("Terms") govern your use of the HW Legacy Group website (hwlegacy.group) and any investment products offered by HW Legacy Group ("we", "us", "our"). By accessing the website or submitting an investment application, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use this website or submit an investment application.

HW Legacy Group is a private investment holding company based in the North East of England. We acquire, develop, and operate properties for serviced accommodation and businesses across all sectors. We offer debt notes to private investors as a means of raising capital for our investment activities.

HW Legacy Group is not authorised or regulated by the Financial Conduct Authority (FCA). The debt notes offered through this platform are not regulated investment products under the Financial Services and Markets Act 2000 (FSMA). These notes are not covered by the Financial Services Compensation Scheme (FSCS). You will not have access to the Financial Ombudsman Service in connection with your investment. We recommend that you seek independent legal, financial, and tax advice before making any investment decision.

To invest with HW Legacy Group you must: • Be aged 18 or over • Be a UK resident • Pass our KYC (Know Your Customer) and AML (Anti-Money Laundering) verification • Have read and understood the risk warnings contained in these Terms • Be investing capital that you can afford to lose We reserve the right to decline any application at our sole discretion without providing a reason.

5.1 Debt notes are offered for a fixed term of 5 years* unless otherwise stated in your individual investment agreement. 5.2 Interest accrues at 10% per annum on the principal amount invested. The exact payment schedule will be set out in your signed investment agreement. 5.3 The minimum investment is £25,000. Higher amounts are accepted subject to compliance review. 5.4 Debt notes are not transferable, assignable, or tradeable on any secondary market. 5.5 Early redemption is not available to the investor as standard. The issuer may repay early from month 24 on 90 days notice. Any request by the investor for early exit is at the sole discretion of HW Legacy Group and may be subject to penalties. 5.6 All investments are made by bank transfer to the account designated in your investment agreement. We do not accept cash, cryptocurrency, or third-party transfers. *The five-year term is callable: the issuer may repay early from month 24 on 90 days notice.

You should only invest if you understand and accept these risks.

7.1 You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others. 7.2 The content on this website is provided for information purposes only and does not constitute financial, legal, or investment advice. 7.3 We reserve the right to suspend or terminate your account if we reasonably believe you have breached these Terms or engaged in fraudulent activity.

All content on this website - including text, graphics, logos, and software - is owned by or licensed to HW Legacy Group. You may not reproduce, distribute, or create derivative works from any content without our prior written consent.

To the maximum extent permitted by law, HW Legacy Group shall not be liable for any indirect, consequential, incidental, or special loss or damage arising from your use of this website or your investment in our debt notes, except where such liability cannot be excluded by law (including liability for death or personal injury caused by negligence, and fraudulent misrepresentation).

Your personal data is processed in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using this website and investing with us, you consent to the processing of your personal data as described in the Privacy Policy.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the website or your investment after any changes constitutes acceptance of the new Terms. Material changes that affect existing investment agreements will be communicated to you directly.
